These Terms of Service govern your use of CompanySearch. By accessing our platform, you agree to these terms.

These Terms of Service ("Terms") constitute a legally binding agreement between CompanySearch ("we," "us," or "our") and the entity or individual ("Customer," "you," or "your") accessing or using our platform and services (collectively, the "Services").
By accessing the Services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms.
1. The Services
1.1 Access and Use
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes.
1.2 Beta Services
From time to time, we may invite you to try "Beta" or "Early Access" features at no charge. You acknowledge that Beta Services are intended for evaluation purposes, may contain bugs, and are provided "AS IS" without warranty of any kind. We may discontinue Beta Services at any time in our sole discretion.
1.3 Service Availability
We will use commercially reasonable efforts to make the Services available 24/7, excluding planned downtime. We do not guarantee that the Services will be uninterrupted or error-free.
2. Data and Ownership
2.1 Customer Data
"Customer Data" means any data, content, or documents that you upload, submit, or otherwise transmit to the Services. You retain all rights and ownership in your Customer Data. You grant CompanySearch a worldwide, royalty-free license to host, copy, and use your Customer Data solely as necessary to provide the Services to you (e.g., to generate reports or store documents).
2.2 Usage Data
CompanySearch owns all right, title, and interest in "Usage Data" (aggregated, anonymized data regarding how the Services are used). We use this data to analyze trends, detect security anomalies, and improve our platform.
2.3 Third-Party Registry Data
A core function of our Service is retrieving data from third-party government registries ("Registry Data"). You acknowledge that Registry Data is not created by us. We provide this data "as is" and make no warranties regarding its accuracy, completeness, or timeliness.
3. User Obligations
3.1 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You are fully responsible for all activities that occur under your account, including the actions of your employees or agents ("Authorized Users").
3.2 Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or to facilitate illegal activities.
- Attempt to reverse engineer, decompile, or hack the Services.
- Use automated systems (crawlers/scrapers) to access the Services without our express written permission.
- Resell or sublicense the Services to a third party.
4. Fees and Payment
- Subscription: Services are billed in advance on a recurring basis (monthly or annually).
- No Refunds: Payments are non-refundable, except where required by law.
- Taxes: Fees are exclusive of taxes. You are responsible for paying all applicable sales, use, VAT, or GST taxes.
5. Confidentiality
Each party agrees to protect the other party's "Confidential Information" (proprietary technical or business information) with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.
6. Publicity
You agree that CompanySearch may use your company name and logo on our website and marketing materials to identify you as a customer. If you wish to opt-out of this, please email us at enquiries@companysearch.app.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- NO INDIRECT DAMAGES: IN NO EVENT SHALL COMPANYSEARCH BE LIABLE FOR ANY LOST PROFITS, DATA LOSS, OR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
- LIABILITY CAP: OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT.
8. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of England and Wales, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the courts located in England and Wales.
