Terms of Service

These Terms of Service govern your access to and use of CompanySearch.app. By accessing our platform, you agree to these terms.

These Terms of Service ("Terms") apply to your access to and use of CompanySearch.app, a digital product operated by Propel Limited ("CompanySearch", "we", "us", "our"), including all related websites, applications and services (together, the "Services").

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you confirm that you have authority to bind that organisation.

1. The Services

1.1 Overview

CompanySearch.app provides tools to search, retrieve, organise and generate reports using company and registry-related information sourced from third parties, including public sector registries.

1.2 Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Services.

1.3 Changes to the Services

We may update, modify, suspend or discontinue parts of the Services from time to time. Where changes are material, we will take reasonable steps to notify users in advance.

1.4 Beta features

Some features may be released as beta, preview or early access features. These are provided for evaluation purposes and may be changed or withdrawn at any time. Beta features are provided "as is".

2. Accounts and access

2.1 Account information

You must provide accurate and complete information when creating an account and keep it up to date.

2.2 Account security

You are responsible for all activity carried out through your account and for maintaining the confidentiality of your login credentials.

2.3 Suspension or restriction

We may suspend or restrict access to the Services if we reasonably believe there has been unauthorised access, a breach of these Terms, or a legal or security risk.

3. Acceptable use

You must not:

  • use the Services in a way that is unlawful or infringes the rights of others
  • attempt to gain unauthorised access to the Services or related systems
  • reverse engineer, decompile or attempt to extract source code except where permitted by law
  • use automated tools to access or extract data from the Services without our written consent
  • interfere with or disrupt the operation or security of the Services
  • resell, sublicense or commercially exploit the Services without our permission

4. Customer data and outputs

4.1 Customer Data

You retain ownership of any data or content you upload or submit to the Services ("Customer Data").

4.2 Licence to process

You grant us a non-exclusive, worldwide, royalty-free licence to host, store, process and use Customer Data solely to provide, secure and improve the Services and to meet legal obligations.

4.3 Generated outputs

Reports, summaries or other outputs generated by the Services may be based on Customer Data and third-party sources. You are responsible for reviewing and validating outputs before relying on them.

4.4 Aggregated usage data

We may collect and use anonymised and aggregated usage data to operate and improve the Services.

4.5 Data processing

Where CompanySearch.app processes personal data on behalf of a customer as a processor, the Data Processing Addendum forms part of these Terms.

5. Third-party and registry information

5.1 Third-party sources

The Services incorporate information obtained from third-party sources, including government registries ("Third-party Data").

5.2 No warranty for Third-party Data

Third-party Data is provided "as is" and may be incomplete, inaccurate or out of date. We do not guarantee its accuracy, completeness or suitability for any particular purpose.

5.3 Open Government Licence notice

Certain information available through the Services is sourced from the Isle of Man Government and made available under the Open Government Licence.

CompanySearch.app uses this information in accordance with the terms of that licence. Use of such information does not imply any official status or endorsement by the Isle of Man Government.

6. Fees and subscriptions

6.1 Paid plans

Access to certain features may require a paid subscription. Subscription fees and billing intervals are displayed at the point of purchase.

6.2 Billing

Subscriptions are billed in advance on a recurring basis unless otherwise stated. Except where required by law, fees are non-refundable.

6.3 Taxes

Prices may be shown exclusive of VAT or other applicable taxes, which are your responsibility unless stated otherwise.

7. Confidentiality

Each party may receive confidential information from the other. Each party agrees to protect the other's confidential information using reasonable care and to use it only for purposes related to the Services.

8. Intellectual property

All intellectual property rights in the Services, including software, design, branding and underlying systems, belong to Propel Limited or its licensors. No rights are granted other than those expressly set out in these Terms.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we exclude all implied warranties, including implied warranties of satisfactory quality, fitness for a particular purpose and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental or consequential losses, including loss of profits, business or data
  • our total liability arising out of or in connection with the Services or these Terms will not exceed the fees paid by you to us in the 12 months preceding the claim

Nothing in these Terms limits liability that cannot be excluded under applicable law.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms or where continued access would expose us to legal or security risk.

On termination, your right to use the Services ends. We may delete or anonymise Customer Data in line with our Privacy Policy and legal obligations.

12. General

  • These Terms constitute the entire agreement between you and us regarding the Services
  • If any provision is unenforceable, the remainder will remain in force
  • We may assign these Terms as part of a corporate transaction
  • No third party has rights under these Terms

13. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
